AHEC MASTER PARTNER TERMS AND LIABILITY AGREEMENT
BY COMPLETING THE DIGITAL REGISTRATION PROCESS, UPLOADING CORPORATE
COMPLIANCE DOCUMENTS, OR PURCHASING SYSTEM VOUCHERS, THE REGISTERING
INSTITUTION (“PARTNER”) UNCONDITIONALLY AGREES TO BE BOUND BY THIS
AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS THE PORTAL OR
SYSTEM CORE.
1. INTEGRATED PARTNERSHIP SCOPE
• Operational Limits: This Agreement governs the entire master partnership lifecycle. This
includes portal access, institutional onboarding, portfolio integration, curriculum utilization,
competency standards, and testing vouchers.
• No Agency or Joint Venture: This Agreement does not create a partnership, joint venture,
employment, or agency relationship. Partner is an independent contractor. Partner has no
authority to bind American Health Examiners & Certifications Group Inc. (AHEC) to any
contract or obligation.
• Separation of Functions: AHEC is strictly an independent international awarding
organization. AHEC does not provide training, courses, or classroom instruction. Partner is
solely responsible for all operations, classroom management, recruitment, local training, and
compliance workflows.
2. TOTAL TRANSFERS OF LIABILITY
• 100% Liability Shift: Partner assumes all risks for its operations and its candidates' use of
AHEC credentials. AHEC is not liable for candidate employment outcomes, immigration status,
or visa rejections. AHEC is not liable for changes in international employment laws or local
agency licensing failures.
• "As-Is" Service Delivery: All AHEC portals, APIs, exam verification engines, curriculum
frameworks, and digital vouchers are provided strictly on an "As-Is" and "As-Available" basis.
AHEC disclaims all warranties, express or implied. This includes warranties of merchantability,
fitness for a particular purpose, uptime, security, or error-free operation.
• Total Waiver of Damages: Partner waives all rights to claim direct, indirect, incidental,
punitive, special, or consequential damages against AHEC. This waiver covers lost profits, loss
of data, business interruption, loss of reputation, or candidate processing claims. This applies
even if AHEC was advised of the possibility of such damages.
• Absolute Financial Cap: AHEC’s total cumulative liability for any breach, dispute, or claim
under this partnership shall not exceed the exact amount paid by Partner to AHEC in the thirty
(30) days before the dispute arose.
3. INDEMNIFICATION OBLIGATIONS
• Third-Party Claims: Partner shall defend, indemnify, and hold harmless AHEC, its parent
companies, affiliates, directors, officers, and employees from any claims, losses, liabilities,
damages, or costs (including legal fees). This applies to claims brought by candidates,
employees, government bodies, or third parties arising from:
o Partner’s local operations, recruitment, or training workflows.
o Statements, descriptions, or advertisements made by Partner regarding AHEC.
o Partner's breach of candidate data regulations or security.
o Fraud, negligence, or willful misconduct by Partner or its representatives.
4. FINANCIAL RISK & SYSTEM CREDITS
• Absolute Non-Refundability: All transactions completed via the partner portal are final.
Payments instantly generate secure system vouchers and automated access codes. These
digital assets lock to the system immediately. All payments are 100% non-refundable, non-
reversible, and non-creditable under any circumstances.
• Resit Management: Partner must follow the system resit rules: one (1) free resit per failed
initial attempt, and subsequent retakes billed at exactly 50% of the initial cost. Partner is
solely responsible for collectibles from candidates.
• Independent Fee Discretion: Partner may bill its candidates an independent "Local
Facilitation Fee" above AHEC's base assessment costs to cover local admin costs. AHEC has
zero liability for these local financial arrangements.
5. BRAND PROTECTION, ASSET RESTRAINT, & INTELLECTUAL PROPERTY
• IP Ownership: All examinations, questions, portal layouts, curriculum guides, certificates,
online verification interfaces, and trademarks remain the exclusive property of AHEC. Partner
is granted a revocable, non-exclusive, non-transferable license to use these assets for
partnership operations.
• Prohibited Actions: Partner shall not reverse-engineer, scrape, crawl, mirror, copy, extract,
download, or redistribute AHEC exam assets, platform source code, database architectures, or
certification security features. Partner shall not create lookalike certificates, clone verification
tools, or mimic the official AHEC website interface, structure, or layout.
• Asset Duplication Restrictions: Partner is explicitly forbidden from copying, duplicating,
photocopying, scanning, recording, screenshotting, or digitally modifying the AHEC curricula,
study guides, competency manuals, or any other physical or digital property belonging to
AHEC. Partner shall not build, train, or distribute any secondary educational content, courses,
or derivative training products derived directly from AHEC's intellectual assets.
• Identity and Digital Land-Grabbing Ban: Partner is strictly prohibited from registering,
holding, or using any trademarks, service marks, trade names, business entities, corporate
names, or local business registries containing the term "AHEC", "American Health Examiners",
or any confusingly similar variations in any country or geographic territory. Partner shall not
purchase, register, or operate web domains, sub-domains, email handles, metadata tags, SEO
keywords, or social media accounts (including but not limited to LinkedIn, Facebook,
Instagram, X, or WhatsApp Business) that contain or mimic AHEC's branding.
• Anti-Misrepresentation & Marketing Controls: Partner shall not advertise or represent
itself as an "exclusive regional branch", "subsidiary", "joint venture", or the "official office" of
AHEC. All localized marketing materials, flyers, or digital campaigns mentioning AHEC must
strictly label the Partner as an "Independent Approved Training or Testing Center" only.
6. UNILATERAL REVISION & ACCOUNT REVOCATION
• Right to Modify Terms: AHEC reserves the right to amend, update, alter, or replace this
Agreement at any time by publishing the revised terms inside the partner portal dashboard.
Continued use of the portal or voucher systems by the Partner following an update constitutes
automatic acceptance of the changes.
• At-Will Account Revocation: AHEC reserves the right to instantly suspend, freeze, or
terminate Partner's dashboard access, delete institutional profiles, and void active examination
vouchers without notice, warning, or refund if AHEC suspects fraud, asset theft, content
duplication, trademark encroachment, code leaks, or any breach of this Agreement.
• Unilateral Choice of Venue: This Agreement shall be interpreted under the commercial
standards of the State of Delaware, USA. The Partner explicitly submits to the exclusive
jurisdiction of the state and federal courts of Delaware, USA, for any legal action brought by
the Partner against AHEC. However, AHEC retains the absolute and unrestricted right to bring
emergency injunctive relief or legal proceedings against the Partner in the Partner’s home
country courts or any other jurisdiction worldwide where the Partner holds assets or conducts
business.
